Golf Genius Software, Inc. Supplemental Terms

These Supplemental Terms govern your use of the Service under any usage-based pricing plan for off-course facilities and are incorporated by reference into the Agreement located at www.golfgenius.com/legal/terms-of-service. Capitalized terms not defined here have the same meaning as defined in the Agreement.

1. Representations and Warranties
1.1. The Customer represents and warrants that they operate an off-course facility that is not associated with a green-grass golf facility. Examples of off-course facilities include, but are not limited to, indoor golf simulator facilities, putting courses, miniature golf courses, and driving ranges.

2. Limitation of Use
2.1. The handicapping management features of the Service shall only be used for golf tournaments or leagues where the golf is played at an off-course facility. The Customer is expressly prohibited from using the handicap management features for aggregating, calculating, and/or applying handicaps for golf events of any sort (e.g., tournaments, leagues, competitions, etc.) that take place at a green-grass golf facility. Any non-compliance with this provision shall be cause for termination of use of the Service with no reimbursement of Subscription Fees.
2.2. Text messaging features of the Service shall not be available.

3. Fees
3.1. Onboarding Fee. The Service is subject to a one-time setup and onboarding fee.
3.2. Monthly Subscription Fee. The Service is subject to a “Monthly Subscription Fee” based on the number of Rounds Managed (as defined below) within a given month multiplied by the Unit Fee Per Round Managed (as defined below).  
3.3. Rounds Managed.  A “Round Managed” is defined as a single golfer’s round for 18 holes (within an event comprised of 18-hole rounds) or 9 holes (within an event comprised of 9-hole rounds) captured and managed using the Service.
3.4  Annual Rounds Managed.  The “Annual Rounds Managed” is the cumulative number of Rounds Managed within each annual cycle during the Term.  
3.5 Volume Discount Schedule.  The “Volume Discount Schedule” set forth in the Subscription Order shall apply to the first annual cycle during the Term.  Thereafter, GGS may periodically change the Volume Discount Schedule.  GGS shall notify the Customer in advance of any such changes.
3.5. Unit Fee Per Round Managed.  For the purpose of determining the Monthly Subscription Fee for any given month during the Term, the “Unit Fee Per Round Managed” shall be based on the Volume Discount Schedule and the Annual Rounds Managed.  

4. Payment
4.1. Valid Credit Card Required. The Customer is required to provide and maintain a valid credit card on file within five (5) business days of accepting the terms of this Agreement. Failure to provide and maintain a valid credit card may result in suspension or deactivation of the Service. 
4.2. Monthly Payments. At the end of each month, GGS shall charge the credit card on file to collect the Monthly Subscription Fee for such month.

5. Suspension and Restart
5.1. Suspension of Service for Non-Payment. If payment is thirty (30) days or more past due, GGS reserves the right to suspend or deactivate the Service.  
5.2. Restart After Cancellation or Suspension.  If the Service has been cancelled or suspended for any reason and the Customer subsequently elects to restart the Service, a restart fee shall be required.
