FATHER AND SON GOLF ASSOCIATION

STATE OF NEW YORK

COUNTY OF NEW YORK  } ss.:

 

We, the undersigned, all being persons of full age, and at least two-thirds being citizens of the United States, and at least one of us a resident of the State of New York, desiring to form a membership corporation for the purposed hereinafter set froth, pursuant to the provisions of the Membership Corporation Law of the State of New York, entitled “An Act relating to Membership Corporation, constituting Chapter 35 of the Consolidated Laws” as since from time to time amended, do hereby make, sign, acknowledge, and file this Certificate, and we accordingly do hereby certify:

 

FIRST:  The name of the proposed corporation is Father and Son Golf Association, Incorporated.

 

SECOND:  The objects and purposes for which the said corporation is to be formed are to encourage friendly competition in golf among Father and                          Sons and to hold a Golf Tournament each summer, and generally to do any and all things which may be necessary or proper in connection                      with its objects and purposes, which may not be contrary to law.

 

THIRD:  The territory in which the operations of the corporation are to be principally conducted is the State of New York.

 

FOURTH:  The principal office of the corporation is to be located in the County and State of New York.

 

FIFTH:  The duration of such corporation is to be perpetual.

 

SIXTH:  The number of Directors of such Corporation, who shall be known as its Governors, shall be twelve.

 

SEVENTH:  The names and places of residence of the persons who are to be its Governors until its first annual meeting are:

  DELOS W. COOKE,  New York City

  FREDERICK H. ECKER,  New York City

  DARWIN P. KINGSLEY,  New York City

  WILSON S. KINNEAR,  New York City

  MARTIN W. LITTLETON,  New York City

                   FRANK PRESBREY,  New York City

 

EIGHTH:  The date and the place for holding its annual meeting shall be such as may be selected by the Board; such day and place to be designated                      in advance by the Board of Governors.

Note: The foregoing Certificate of Incorporation was amended On June 25, 1951 to change its name from Pater et Filius Golf Association, Incorporated to Father and Son Golf Association, Incorporated and again on June 27, 1960 to increase the number of Directors from seven to twelve.
